Proprietary Software Legal Disclaimer

Please carefully read and understand the following terms and conditions of the Simple DDNS Updater Proprietary License Agreement (hereinafter referred to as "the License Agreement") before obtaining access to the Simple DDNS Updater application. By accessing, copying, modifying, or using the Software, you explicitly agree to be bound by the terms and conditions set forth in this License Agreement, including our additional policies available at www.jshosting.co.uk/policies.php.

1. License Agreement

This Agreement, hereinafter referred to as the "License Agreement," establishes a legally binding contract between the party accessing, copying, modifying, or using the Simple DDNS Updater software (hereinafter referred to as the "Software") - the "Licensee," and Just Simple Hosting, the entity providing this proprietary software (hereinafter referred to as the "Licensor"). The Licensee is obligated to thoroughly review the comprehensive terms and conditions contained within the entirety of this License Agreement document.

2. Software Disclaimer

The Software, known as the Simple DDNS Updater, is conveyed to the Licensee on an "as-is" basis, and without extending any warranties, whether express or implied. The authors and contributors, encompassing individuals, contractors, and entities intricately associated with the software's development, explicitly proscribe any unauthorized copying, modification, or utilization of the Software for financial gain. It is imperative to underscore that the Software is neither owned nor affiliated with cPanel, and the Licensor disclaims any insinuations of copyright infringement.

3. License Grant

Within the framework of this License Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable license for the sole purpose of personal, non-commercial usage of the Software. The Licensee explicitly agrees not to engage in activities that could compromise the proprietary nature of the Software, including, but not limited to, copying, reverse engineering, or utilizing the Software for any form of profit or financial gain. Any deviation from this stipulation mandates prior written consent from the Licensor.

4. Restrictions

Commercial Use Prohibition

Under no circumstances shall the Software be employed for any commercial endeavors, encompassing but not confined to selling, sublicensing, or exploiting for financial gain, unless a specific commercial or enterprise license is obtained (see Section 10).

No Redistribution

The Licensee and contributors are unequivocally prohibited from redistributing the Software, whether for commercial or non-commercial purposes, without explicit and documented authorization from the Licensor. Any unauthorized distribution constitutes a material breach of this agreement and may elicit legal consequences.

No Warranty

The Software is furnished "as is" without any warranties or guarantees of any kind, encompassing but not limited to merchantability, fitness for a particular purpose, and non-infringement. The Licensor disclaims any and all liability for claims or damages arising from the use or distribution of the Software.

5. Updates and Logging

The Licensor reserves the right to provide updates, enhancements, or modifications to the Software at its sole discretion. The Licensee acknowledges that these updates may include features designed to enhance security and expressly consents to the collection and storage of relevant data facilitated through logging features implemented for the purpose of fortifying security measures. The Licensor may update this License Agreement at any time. By continuing to use the Software after such updates, the Licensee agrees to be bound by the revised terms and conditions. All previous versions of the Software will be covered by the updated License Agreement.

6. Termination

The license, inherently effective, is subject to termination at the unbridled discretion of the Licensor. This termination may be invoked in response to any violation committed by the Licensee or contributors against the stipulations outlined within this License Agreement. Moreover, the Licensor retains the prerogative to terminate any specific version of the Software, thereby rendering it obsolete, strategically mitigating potential misuse of outdated iterations.

7. Governing Law

This License Agreement shall be exclusively governed by and construed in accordance with the laws of the United Kingdom, East Sussex. Any disputes arising from or in connection with this License Agreement shall fall within the exclusive jurisdiction of the courts situated in the United Kingdom, East Sussex.

8. Protection of Just Simple Hosting

The Licensee unequivocally acknowledges and agrees that any unauthorized use, reproduction, or dissemination of the Software may inflict irreparable harm upon Just Simple Hosting. In the event of a breach of this License Agreement, the Licensee agrees that Just Simple Hosting is entitled to seek injunctive relief, in addition to any other legal remedies available, to prevent or remedy such harm. Just Simple Hosting explicitly retains all rights not expressly granted in this License Agreement, and the failure to enforce any provision of this agreement does not constitute a waiver of such provision or the right to enforce it subsequently.

9. Agreement Updates

This License Agreement may be updated by the Licensor at any time. The most current version will be available on the Licensor's website at www.jshosting.co.uk/policies.php. By continuing to use the Software, the Licensee agrees to be bound by the latest version of the License Agreement.

10. License Plans and Restrictions

The Simple DDNS Updater software is available under three license plans: Free, Commercial, and Enterprise.

a. Free Plan

Eligibility: Available to home users only.
Limitations: Home users are limited to 5 URLs.

b. Commercial Plan

Eligibility: Required for commercial users.
Limitations: Commercial users are limited to 50 URLs. Commercial users must use the Software solely for internal business purposes and not for any third-party service offerings or resale.
Compliance: If a commercial user exceeds their licensed limit, they must upgrade to an Enterprise license accordingly.

c. Enterprise Plan

Eligibility: Designed for large-scale commercial entities with specific needs.
Customization: Includes customized terms and conditions based on the specific needs and scale of the enterprise. Enterprise users must negotiate the terms and obtain the appropriate license from the Licensor.
Limitations: The specific limitations and terms, including the number of URLs and support provisions, will be detailed in a tailored agreement upon contact.
